1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Phosphor Technologies ("we", "us", "our"), a sole proprietor operating in the United Kingdom, regarding your use of the Supervisor content moderation service ("Service").

By creating an account, accessing our website at supervisor.gg, using our API, or installing our Discord bot, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Service.

Important: These Terms contain provisions that limit our liability to you and require you to resolve disputes with us through binding arbitration on an individual basis (see Section 16).

2. Eligibility and Account Requirements

2.1 Age Requirement

You must be at least 13 years old to use our Service. This requirement aligns with Discord's Terms of Service, as our Discord bot integration requires a Discord account. If you are under 18, you represent that you have obtained parental or guardian consent to use our Service.

2.2 Account Registration

To use our Service, you must create an account by authenticating through one of our supported OAuth providers (Discord, Google, or GitHub). You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your API keys and account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately at legal@phosphor.gg of any unauthorized use or security breach
  • Not create multiple accounts to circumvent usage limits or restrictions
  • Not share, sell, or transfer your account to another person or entity

2.3 Business and Commercial Use

Our Service may be used for both personal and commercial purposes. If you use the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

3. Service Description

3.1 Core Service

Supervisor is an AI-powered content moderation service that analyzes text content for potentially harmful, toxic, or policy-violating material. Our Service includes:

  • RESTful API for content moderation requests
  • Discord bot integration for automated server moderation
  • Web dashboard for account and API key management
  • Credit-based usage tracking and billing
  • Multiple AI model tiers (Observer, Sentinel, Arbiter)

3.2 Credit System

Our Service operates on a credit-based pricing model:

  • Free Tier: £2 of credits per month, automatically refreshed each month. Limited to Observer model only.
  • Paid Subscriptions: Additional credits and access to advanced AI models (Sentinel and Arbiter) based on subscription tier
  • Credits are consumed per API request based on content size and model complexity
  • Credits do not roll over to the next billing period unless explicitly stated in your subscription plan
  • Once credits are exhausted, API requests will be rejected with a 402 Payment Required status code until credits are replenished

3.3 AI Model Tiers

  • Observer: Basic content moderation model, available on all plans including free tier
  • Sentinel: Enhanced moderation with improved accuracy, available on Standard and Premium plans
  • Arbiter: Advanced multi-pass analysis with translation and context awareness, available on Premium plans only

3.4 API Access

  • You may create up to 10 API keys per account
  • API keys must be kept confidential and may not be shared with unauthorized parties
  • Demo endpoints are rate-limited by IP address (requests per minute/hour/day)
  • Authenticated endpoints are rate-limited by account and credit availability

3.5 Discord Bot Integration

Our Discord bot provides automated content moderation for Discord servers. By adding the bot to your server, you agree that:

  • You are the server owner or have obtained permission from the server owner
  • The bot will access message content in configured channels for moderation analysis
  • The bot may collect up to 50 previous messages from the same author for contextual analysis
  • Moderation credits are deducted from the billing user's account (configurable)
  • The bot may automatically delete messages, timeout users, or send warnings based on your configuration
  • You are responsible for configuring appropriate moderation actions and excluded roles
  • Server members are informed about automated moderation upon bot installation

4. Subscription Plans and Billing

4.1 Subscription Tiers

We offer the following subscription plans:

  • Free: £2 of credits/month, Observer model only
  • Basic: Paid tier with increased credits and Sentinel model access
  • Standard: Enhanced tier with higher credit allocation and Sentinel model
  • Premium: Full access tier with maximum credits and all models (Observer, Sentinel, Arbiter)

4.2 Payment Processing

All payments are processed securely through Stripe, a third-party payment processor. By subscribing to a paid plan, you agree to Stripe's Services Agreement and authorize us to charge your payment method.

  • We do not store your complete credit card or payment details
  • Subscriptions are billed in advance on a monthly or annual basis (depending on your selection)
  • Billing occurs automatically on the same day each billing period
  • You are responsible for providing valid payment information and maintaining sufficient funds

4.3 Failed Payments

If payment fails:

  • We will attempt to retry payment using Stripe's automatic retry logic
  • You will receive email notifications about payment failures
  • Continued payment failure may result in service suspension or account downgrade to the free tier
  • You remain responsible for any outstanding amounts owed

4.4 Price Changes

We reserve the right to change our pricing at any time. For existing subscribers:

  • We will provide at least 30 days advance notice of price increases via email and dashboard notification
  • Price changes take effect at the start of your next billing cycle
  • You may cancel your subscription before the price change takes effect to avoid the new pricing
  • Continued use of the Service after a price change constitutes acceptance of the new pricing

4.5 Taxes

All fees are exclusive of applicable taxes, duties, or levies (including VAT, sales tax, or GST). You are responsible for paying all such taxes associated with your subscription, except for taxes based on our net income.

5. Cancellation and Refunds

5.1 Subscription Cancellation

You may cancel your subscription at any time through your dashboard settings. Upon cancellation:

  • Your subscription will remain active until the end of your current billing period
  • You will retain access to paid features until the billing period expires
  • Your account will automatically downgrade to the free tier at the end of the billing period
  • No refund will be issued for the unused portion of the billing period unless otherwise stated
  • Automatic billing will cease, and your payment method will not be charged again

5.2 Refund Policy

Except as required by law, all subscription fees are generally non-refundable. However:

  • Refunds may be considered on a case-by-case basis at our sole discretion
  • To request a refund, contact legal@phosphor.gg with your account details and reason for the request
  • Service failures or downtime may qualify for credit extensions or partial refunds
  • Fraudulent charges or unauthorized subscriptions will be refunded upon verification

5.3 UK Consumer Rights

If you are a consumer located in the United Kingdom, you have certain cancellation rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013:

  • You have a 14-day cooling-off period from the date you subscribe (distance selling right)
  • During this period, you may cancel for any reason and receive a full refund
  • If you use the Service during the 14-day cooling-off period, you agree that we may begin performance immediately
  • If you cancel after using the Service, we may deduct a proportionate amount for services already provided
  • To exercise your cancellation right, email legal@phosphor.gg with a clear statement of your decision

These consumer rights do not affect your statutory rights under the Consumer Rights Act 2015.

6. Acceptable Use Policy

6.1 Permitted Uses

You may use our Service to moderate text content for:

  • Community platforms (Discord servers, forums, social networks)
  • User-generated content websites and applications
  • Comment sections and review platforms
  • Chat applications and messaging services
  • Content compliance and safety monitoring

6.2 Prohibited Uses

You may not use our Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Moderate content you do not have legal authority to access or control
  • Circumvent or interfere with security features, rate limits, or access controls
  • Reverse engineer, decompile, or attempt to extract the source code of our AI models
  • Resell, redistribute, or sublicense the Service without our written permission
  • Scrape, harvest, or collect data from our Service using automated means (except via the API)
  • Transmit malicious code, viruses, spam, or any harmful content through our API
  • Overload, attack, or attempt to gain unauthorized access to our systems
  • Use the Service to train competing AI models or build derivative services
  • Create fake accounts or use the Service for fraudulent purposes
  • Violate our or any third party's intellectual property rights

6.3 Content Moderation Responsibilities

You are solely responsible for:

  • Ensuring you have the legal right to moderate the content you submit to our Service
  • Complying with applicable data protection laws (including UK GDPR) when processing user content
  • Implementing appropriate safeguards and human review processes
  • Not relying solely on AI moderation for critical safety decisions
  • Informing your users that automated content moderation is in use (for Discord bots and public-facing implementations)
  • Handling appeals and disputes from users whose content is moderated

7. AI Service Disclaimers

7.1 Accuracy and Reliability

IMPORTANT: Our AI models are not 100% accurate and may produce false positives (incorrectly flagging safe content) or false negatives (missing harmful content). You acknowledge and agree that:

  • AI moderation is probabilistic and subject to error
  • Our Service provides confidence scores, not absolute determinations
  • You should implement human review for high-stakes moderation decisions
  • We are not responsible for moderation errors or their consequences
  • Model performance may vary across languages, dialects, and content types

7.2 No Legal or Professional Advice

Our Service provides technical content analysis only. It does not constitute:

  • Legal advice or compliance certification
  • Professional judgment on content legality or appropriateness
  • Guarantee of compliance with platform policies or regulations
  • Substitute for human moderation or editorial judgment

7.3 Service Changes

We continuously improve our AI models. We may:

  • Update models, algorithms, or detection labels at any time
  • Add, remove, or modify moderation categories
  • Adjust confidence thresholds or scoring mechanisms
  • Introduce new features or deprecate existing ones

Material changes that affect core functionality will be announced via dashboard notification.

8. Intellectual Property Rights

8.1 Our Intellectual Property

The Service, including all AI models, algorithms, software, APIs, documentation, trademarks, logos, and content, is owned by Phosphor Technologies and protected by copyright, trademark, and other intellectual property laws.

"Supervisor" and the Supervisor logo are trademarks of Phosphor Technologies. You may not use our trademarks without prior written permission.

8.2 License to Use Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes. This license does not include the right to:

  • Sublicense, resell, or redistribute the Service
  • Modify, reverse engineer, or create derivative works
  • Remove or obscure proprietary notices
  • Use the Service to build competitive products

8.3 Your Content

You retain all intellectual property rights to content you submit for moderation. By using our Service, you grant us a limited license to:

  • Process and analyze your content to provide the Service
  • Use aggregated data and anonymised/synthetic derived moderation examples to improve our AI models and moderation systems
  • Store temporary metadata for billing and rate limiting purposes

As stated in our Privacy Policy, we do not permanently store raw text content you submit for standard moderation requests, but we may retain anonymised/synthetic derived records created from moderator feedback submissions.

8.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without compensation or attribution.

9. Account Termination

9.1 Termination by You

You may terminate your account at any time through your dashboard settings. Note that:

  • You cannot delete your account if you have an active paid subscription
  • You must first cancel your subscription and wait for it to expire
  • Account deletion is permanent and cannot be undone
  • We will retain payment records for 5 years as required by UK tax law (HMRC)

9.2 Termination by Us

We may suspend or terminate your account immediately, with or without notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account is used for fraudulent, illegal, or abusive activities
  • Payment fails and remains outstanding for more than 30 days
  • We are required to do so by law or legal process
  • We discontinue the Service (with reasonable notice)
  • Your account has been inactive for more than 24 months

9.3 Effect of Termination

Upon termination:

  • Your access to the Service will be immediately revoked
  • API keys will be deactivated and API requests will fail
  • The Discord bot (if installed) will cease functioning
  • Unused credits and subscription fees are forfeited (except as required by law)
  • You remain liable for any outstanding fees or obligations
  • Sections of these Terms that should survive termination will remain in effect (including liability limitations, indemnification, and dispute resolution)

10. Privacy and Data Protection

Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key points:

  • We process personal data in accordance with UK GDPR
  • Content submitted for moderation is not permanently stored
  • We collect usage statistics, billing data, and account information
  • Discord OAuth tokens (access and refresh) are stored to enable integrations
  • Payment processing is handled by Stripe

If you use our Service to process personal data of others (e.g., Discord server members), you are the data controller and must comply with applicable data protection laws. We act as a data processor.

11. Disclaimers and Warranties

11.1 "As-Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR AVAILABILITY OF THE SERVICE
  • ERROR-FREE OR UNINTERRUPTED OPERATION
  • SECURITY OR ABSENCE OF VIRUSES OR HARMFUL COMPONENTS
  • SPECIFIC RESULTS OR OUTCOMES FROM USING THE SERVICE

11.2 Service Availability

We strive to maintain high availability, but we do not guarantee:

  • 24/7 uptime or any specific service level agreement (SLA)
  • Absence of downtime, bugs, or technical issues
  • Compatibility with all platforms, browsers, or integrations
  • Continued availability of specific features or API endpoints

We may perform scheduled maintenance with reasonable notice. Emergency maintenance may occur without advance warning.

11.3 UK Consumer Rights

If you are a consumer in the United Kingdom, you have legal rights under the Consumer Rights Act 2015. Nothing in these Terms affects those statutory rights. Specifically:

  • Digital content must be of satisfactory quality, fit for purpose, and as described
  • If the Service is faulty, you may be entitled to a repair, replacement, or refund
  • These rights are in addition to, not instead of, the warranty disclaimers above

12. Limitation of Liability

12.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • THE TOTAL FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR
  • £100 GBP

12.2 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES
  • LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • REPUTATIONAL HARM OR GOODWILL LOSS
  • COST OF SUBSTITUTE SERVICES
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS, DATA BREACHES, OR SECURITY INCIDENTS
  • DAMAGES CAUSED BY THIRD-PARTY SERVICES (INCLUDING STRIPE, DISCORD, OR OAUTH PROVIDERS)
  • DAMAGES RESULTING FROM AI MODERATION ERRORS, FALSE POSITIVES, OR FALSE NEGATIVES

12.3 Exceptions

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited under applicable law

12.4 Basis of the Bargain

You acknowledge that we have set our prices and entered into these Terms in reliance upon the warranty disclaimers and limitations of liability set forth herein, and that the same form an essential basis of the bargain between you and us.

13. Indemnification

You agree to indemnify, defend, and hold harmless Phosphor Technologies, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms or any applicable law
  • Your violation of any third-party rights, including intellectual property, privacy, or data protection rights
  • Content you submit for moderation
  • Your use of the Discord bot and any actions it takes on your behalf
  • Disputes between you and your users or community members
  • Any claim that your use of the Service caused harm to a third party

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.

14. Third-Party Services and Links

Our Service integrates with and depends on third-party services, including:

  • Stripe (payment processing)
  • Discord (OAuth authentication and bot API)
  • Google (OAuth authentication)
  • GitHub (OAuth authentication)
  • Cloudflare (network services)

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for:

  • The availability, functionality, or reliability of third-party services
  • Third-party service outages, policy changes, or API deprecations
  • Data practices or security of third-party services
  • Content or accuracy of third-party websites linked from our Service

Links to third-party websites are provided for convenience only and do not constitute endorsement.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website, unless otherwise stated.

15.1 Notification of Changes

For material changes, we will:

  • Update the "Last updated" date at the top of these Terms
  • Display a prominent notice in your dashboard
  • Send email notification to your registered email address (when email service is implemented)
  • Provide at least 30 days notice before changes take effect

15.2 Your Acceptance

By continuing to use the Service after changes take effect, you agree to be bound by the revised Terms. If you do not agree to the changes, you must discontinue use of the Service and may cancel your account.

16. Dispute Resolution and Governing Law

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

16.2 Jurisdiction

Subject to the dispute resolution provisions below, you agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the courts of England and Wales, and you consent to the personal jurisdiction of such courts.

16.3 Informal Resolution

Before filing a formal legal claim, you agree to first contact us at legal@phosphor.gg to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 30 days.

16.4 Arbitration (Optional)

If informal resolution fails, either party may suggest binding arbitration under the rules of the London Court of International Arbitration (LCIA). Arbitration shall be conducted in English, with a single arbitrator, and held in London, England.

Arbitration is optional and requires mutual agreement. If either party declines arbitration, disputes shall be resolved in the courts of England and Wales as specified above.

16.5 Consumer Rights

If you are a consumer in the United Kingdom or European Union, nothing in this section affects your statutory rights to bring proceedings in your country of residence.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements, understandings, and communications.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms. The remaining provisions shall remain in full force and effect.

17.3 No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future.

17.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor in connection with a merger, acquisition, or sale of assets. Any attempted assignment in violation of this section is void.

17.5 Force Majeure

We shall not be liable for any delay or failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including:

  • Acts of God, natural disasters, or severe weather
  • War, terrorism, civil unrest, or government action
  • Epidemics, pandemics, or public health emergencies
  • Internet or telecommunications failures
  • Third-party service outages (including cloud providers, payment processors, or APIs)
  • Cyberattacks, DDoS attacks, or security incidents

17.6 Relationship of Parties

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and us. You have no authority to bind us or make commitments on our behalf.

17.7 Notices

We may provide notices to you via email to your registered email address or through dashboard notifications. You agree that electronic notices satisfy any legal requirement for written notice.

17.8 Survival

The following sections shall survive termination of these Terms: Intellectual Property Rights, Disclaimers and Warranties, Limitation of Liability, Indemnification, Dispute Resolution and Governing Law, and General Provisions.
